ACCEPTANCE OF TERMS

These Terms and Conditions of Use (“Terms of Use”) govern your access, use of, and participation to the site www.ozeol.com (‘Site’) by the companies of the Ozeol Network (‘Ozeol’). PLEASE READ THESE TERMS CAREFULLY. BY USING THIS SITE, YOU AGREE TO THESE TERMS OF USE. If you do not agree with these Terms of Use, you should not use the website.

If there is a conflict between the Terms of Use and any additional legal terms, the legal terms shall prevail. If there is any additional legal information applicable to your country, please refer to them alongside these Terms of Use.

SITE USAGE

You are solely responsible for all the Content that you make available in this Platform either via contact or information sent via Seller form, job application in the Careers section, or in any other form. “Content” is defined as any document, artwork, user interfaces, photographs, computer code or any other information protected by intellectual property.

The following is prohibited:

• Any algorithms, methodologies, programs, or any similar process either by automatic or manual means with the intent of reproducing any Content of the Site
• All attempts to test the vulnerability of the Site or any breach of security or authentication measures
• Tracing information on users or visitors of the Site that is not yourself
• Exploiting the Site with the available information
• Interfering with the proper working of the Site via any device or software
• Misrepresenting yourself or impersonating any individual or entity
• Any actions that can reasonably be considered an attempt to access any feature of the site without authorized access

MODIFICATIONS

Ozeol reserves the right to change, modify, add, or remove sections of the Terms of Use at its sole discretion for reasons deemed necessary by Ozeol. By using the Site continuously, you accept the changes to the Terms of Use as amended from time to time.

INTELLECTUAL PROPERTY AND USE OF CONTENT

Unless otherwise stated or if given written authorization to do so, no Content can be copied, reproduced, uploaded, published, republished, or encoded to any other Web Site or other medium for publication.

Ozeol retains all the intellectual property rights of the content on the Site. The intellectual property rights of third parties are expressly reserved. Content includes but is not limited to any document, artwork, user interfaces, photographs except stock photos, computer code or any other information protected by intellectual property.  Per this section, ‘Intellectual Property Rights’ refer to any patents, design rights, copyrights, trademarks, trade secrets, confidentiality rights, or any other intangible property rights owned per the applicable law.

Reproduction of the Site may be conducted for your own personal and private use as long as it is for non-commercial use and all intellectual property rights are respected.

Ozeol does not own your User Content that you may send via Seller’s form, job applications, or any other form of contact where your personal information is sent to the Site. However, Ozeol reserves the right to store and monitor User Content to review the applicant or company, user outreach, or any other reason fit for the purpose of the User Content on the Site.

User Content is content sent by you for which you have the right, title, or authority to share with Ozeol. Misrepresentation or impersonation of an individual or an entity for which you have no authorization to represent is prohibited.

PRIVACY POLICY

The Terms of Use must be used in conjunction with the Privacy Policy. BY USING THIS WEBSITE, YOU AGREE TO BOTH THE TERMS OF USE AND ITS PRIVACY POLICY.

LIMITATION OF LIABILTIY

To the fullest extent permitted by the applicable law, Ozeol is not liable for any direct or indirect, material or immaterial, consequential or punitive damages arising from your use of the Site, unauthorized access to the Site’s features, or viruses or malware that may be transmitted to or through the Site by a third party. Ozeol’s liability is limited to the extent explicitly required under the applicable law.

You acknowledge and agree that you have familiarized yourself with the ‘Disclaimer’ section and are responsible for the risks you take in regard to using the Site to the maximum extent of the law.

In jurisdictions that do not allow the limitation of liability or if found to be liable by a court of law, Ozeol’s liability is limited to the extent explicitly required under the applicable law.

Without prior notice and in its sole discretion, Ozeol may terminate or restrict your access to the Site in response to your violation of these Terms of Use or Privacy Policy.

In its sole discretion, Ozeol may take any action as permitted by law. This may include reviewing or disclosing your User Content to the extent that the applicable law permits such disclosure in order to:

-protect the rights of Ozeol and its affiliates, subsdiairies, officers, agents, partners, employees, licensors, and contractors

– comply with legal process and law enforcement agencies in investigation or prosecution

You also acknowledge that your violation of the Terms of Use will be considered unlawful and unfair business practice and will cause harm to Ozeol. As such, Ozeol may seek remedies, which may include injunctive or equitable relief if monetary damages are inadequate or insufficient. Any legal action taken by Ozeol will be subject to applicable laws and reasonable standards of fairness. Ozeol may also seek reasonable attorney fees and related costs incurred.

DISCLAIMERS

The Website is provided to you ‘As Is’ and does not guarantee or warrant any features or qualities of the Site and its Content. The Content on the Site is for explanatory purposes only and does not constitute any guarantee, warranty, or undertaking express or implied unless explicitly confirmed by Ozeol. Ozeol does not guarantee that the Site, its services, features, or content will be uninterrupted or without error. The information found on the Site may be changed without notice.

Additionally, Ozeol does not guarantee that the site will be free from cyber attacks, malicious content, viruses, malware, or any security threats other than what Ozeol can reasonably be responsible for. You agree to indemnify and hold Ozeol harmless Ozeol and its affiliates, subsdiairies, officers, agents, partners, employees, and licensors, against any claims, liabilities, damages, losses, expenses, legal and accounting fees, arising of or in any way connected with your violation of the Terms of Use.

GOVERNING LAW AND DISPUTE RESOLUTION

PLEASE READ THIS SECTION CAREFULLY AS IT AFFECTS YOUR LEGAL RIGHT INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

In the event of a dispute regarding these Terms of Use, both parties will attempt to find an amicable solution before attempting court action. Both parties agree to act in good faith and attempt to resolve the dispute within 30 business days, which can be extended if both parties agree. If the solution is not resolved by the agreed time, both parties will be free to pursue any right or remedy available to them under the applicable law.

These Terms of Use, as well as all policies and guidelines, are governed by the laws of Switzerland unless agreed otherwise by you and Ozeol in a separate addendum and brought before the courts of the Canton of Geneva.
